Terms & Conditions

Payment: Unless specifically agreed otherwise, payment should be made via card or bank transfer, with 100% due before coaching commences, unless a monthly payment plan has been agreed.

Description of Coaching: Coaching is a collaboration designed to facilitate the creation/development of personal, professional, or business goals and to develop and carry out a strategy/plan for achieving those goals.

The Coach-Client Relationship: The Client is solely responsible for creating and implementing their own physical, mental and emotional well-being, decisions, choices, actions, and results arising out of or resulting from the coaching relationship and their coaching calls and interactions with the Coach. As such, the Client agrees that the Coach is not and will not be liable or responsible for any actions or inaction, or for any direct or in direct result of any services provided by the Coach. The Client understands coaching is not therapy and does not substitute for therapy if needed, and does not diagnose, prevent, cure, or treat any mental disorder, medical disease, health condition, or addiction. The Client understands that coaching is not legal advice and no liability is accepted for following any suggestions the Coach makes.

The Services : The coaching services (details on page 3) will be held on Zoom at a time mutually agreed upon. If the Client is more than 15 minutes late for any given session or does not give 24 hours’ notice requesting the session to be rescheduled, the session will be considered missed, except in cases of emergencies. If the Coach needs to reschedule a session, they will endeavour to always provide 24 hours notice. An outline can be provided of the suggested structure of sessions, however, in practice it is the Client’s choice and responsibility as to how the sessions are used. The Client or the Coach can terminate the relationship at any time, if necessary, following a conversation about the reason for this.

Changes and Revisions: any changes or revisions to this agreement or to the type of work required must be discussed and agreed upon between The Client and The Coach before those changes taking effect.

Force Majeure: If the Client or The Coach is prevented or delayed in the performance of their obligations under this Agreement by “force majeure”, then they shall be excused the performance while the cause of prevention or delay continues.

Confidentiality: This coaching relationship, as well as all information that the Client shares with the Coach as part of this relationship is bound by the principles of confidentiality outlined in the ICF Code of Ethics. However, the Coach-Client relationship is not considered a legally confidential relationship (like the medical and legal professions). The Client provides consent for coaching sessions to be recorded for internal training and accreditation purposes. The Client recognises that they can withdraw this consent at any time and request that recordings be deleted. The Client recognises that in some cases, the Coach may have conversations with specific and relevant individuals about them without their presence, if relevant. The Coach will take reasonable measures to ensure this is a collaborative process that the Client feels comfortable with at all times.

Limited Liability: Except as expressly provided in this Agreement, the Coach makes no guarantees or warranties, express or implied. In no event will the Coach be liable to the Client for any indirect, consequential or special damages. Notwithstanding any damages that the Client may incur, the Coach’s entire liability under this Agreement, and the Client’s exclusive remedy, will be limited to the amount paid by the Client to the Coach under this Agreement for all services rendered up until the termination date.

This is the entire agreement between the parties and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented except in writing signed by both the Parties.

If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the Parties agree to attempt to mediate in good faith for up to 30 days after notice given. If the dispute is not resolved, and in the event of legal action, the prevailing party shall be entitled to recover solicitors’ fees and court costs from the other party. The laws that shall apply are those of England and Wales.

Copyright: the Client will own the copyright for all material created under this agreement, and The Coach can sample and reuse only with consent from The Client.

Termination: this agreement may be terminated with 30 days written notice by either party.

Data Protection and Data Processing: both The Client and The Coach will comply with all applicable requirements of Data Protection Legislation.

Law and Jurisdiction: this Agreement is governed by the laws of England and Wales and the parties submit to the jurisdiction of the Courts of England and Wales.
